Terms and Conditions
These Terms and Conditions (“Terms and Conditions”) set forth the terms under which Iowa CPR, LLC d/b/a Do CPR ("Do CPR"), using its own certified instructors ("Instructors"), will provide training services to you or your employees for CPR, First Aid or Basic Life Support courses (each a "Course" and, together, "Courses").
The Course or Courses which are subject to these Terms and Conditions and the applicable fees for each such Course are set forth as noted on the Do CPR website docpr.com and in Section 8 of these Terms and Conditions (the “Fees”). The provisions of the Fees are incorporated into these Terms and Conditions..
1.0 Do CPR Responsibilities. Do CPR will:
1.1 Provide instruction in the Courses and provide customers with materials and access to rental equipment and disposable materials necessary for such instruction for the Fees as listed on docpr.com.
1.2 For each Course scheduling instance (“Class”), confirm the date and time of the Class in a confirmation email.
1.3 Issue digital certificates, as applicable, for each Course participant who successfully completes all Course requirements and returns the equipment as agreed to in Section 8 of these Terms and Conditions.
2.0 Your Responsibilities. You will:
2.1 Cooperate with Do CPR in scheduling training on dates and at times and locations that are mutually acceptable to you and Do CPR.
2.2 Notify Do CPR of any cancellations prior to the 72 hours before the date of the Course in order to receive a full refund. Any cancellations less than 72 hours in advance will not receive a refund.
2.3 Notify Do CPR of any requests to reschedule a course no less than 24 hours before the date of the Course in order to be accommodated. Reasonable requests for rescheduling will be considered at the sole discretion of Do CPR.
3.0 Fees and Invoicing.
3.1 For individuals registering online, you will pay the fees as selected online at the time you schedule your course. By submitting your payment information you will be agreeing to the Terms and Conditions and any fees associated therewith.
3.2 For businesses receiving invoices, your invoice will be due within 30 days of receipt. If the invoice is past due, you authorize Do CPR to charge any card on file with Do CPR for the full amount of the invoice.
4.0 Term and Termination.
4.1 The Terms and Conditions will remain in effect until the date on which the Course is completed and the Equipment (as defined in Section 8 below) is returned.
4.2 Notwithstanding expiration or any termination of the Terms and Conditions the provisions of such terms will continue to govern with respect to any amounts payable to Do CPR for Courses completed prior to such expiration or termination, Courses not cancelled within 72 hours of the Course date or for any non return of the Equipment.
5.0 Force Majeure.
Notwithstanding anything in the Terms and Conditions to the contrary, neither you nor Do CPR will be liable to the other for any loss or damage arising as a result of breach, non-performance or partial performance of its obligations under the Terms and Conditions (except for the obligation to pay money when due) due to any cause beyond its reasonable control and without its fault or negligence, including but not limited to any delay or failure caused by unavailability or shortage of power, materials or supplies, flood, fire, storm, other abnormally inclement weather, act of war, terrorism, riot, act or omission of government or governmental agency, strike, work stoppage, other labor unrest, inadequate voluntary donations required for the rendering of the services, other act or omission in the process of manufacture, production or supply under the control of third parties, or any other emergency. Force majeure does NOT include any inability to complete the Course due to lack of internet connectivity for the Customer.
6.0 Confidentiality and Intellectual Property.
6.1 Except as required by applicable law or otherwise provided herein, Do CPR and you will each maintain the confidentiality of all provisions of the Terms and Conditions or other confidential information, documents and materials received for the purposes of the Course or Equipment.
6.2 Neither Do CPR nor you may use the other’s name, trademarks or other intellectual property in marketing materials, press releases, presentations, or otherwise without the advance written consent of the other party, which consent may be granted or withheld in the other party’s sole discretion.
7.0 Miscellaneous.
Severability. In the event any provision of these Terms and Conditions is held invalid, illegal or unenforceable (any such provision, an “Invalid Provision”) in any jurisdiction, in no way will the Invalid Provision affect the validity or enforceability of any other portion or provision of the Terms and Conditions.
Independent Contractors. Each of us is an independent contractor with respect to the other, and nothing herein shall create any partnership, franchise, or joint venture between us or an employer-employee relationship. No agent, employee or servant of either party will be, or will be deemed to be, the employee, agent or servant of the other party, and each of us will be solely and entirely responsible for our own acts and the acts of each of our agents, employees and servants.
Governing Law. The Contract is governed by the laws of the State of Iowa, without giving effect to its choice or conflict of law rules.
8.0 Equipment Rental
WHEREAS, Do CPR desires to rent out certain equipment described below for the purpose of allowing Customers to complete online CPR and/or First Aid certification.
8.1 The parties mutually agree to the following terms and conditions as they pertain to the Equipment:
a) The Equipment. Do CPR leases to the Customer and Customer agrees to maintain the below described equipment (the “Equipment”). Customers may receive multiple of the items listed below, depending on class size. Equipment may include:
Adult CPR mannequin
Infant CPR mannequin
AED Trainer
Epinephrine Auto-Injector Trainer (not included with BLS)
Adult CPR mask (BLS Only)
Infant CPR mask (BLS Only)
BVM (bag-valve-mask)
The Equipment does not include the following disposable materials which need not be returned: CPR face shield, gauze pads, gauze roll, gloves and disposable breathing valve.
b) Delivery of the Equipment. Do CPR shall deliver the Equipment to the Customer at the address used to register for the course. The Equipment will either be left at the Customer’s doorstep the evening before or the morning of the online training session or be delivered using UPS, USPS or FedEx.
c) Return of the Equipment. Upon completion of the course, Customer shall pack up and return the Equipment using the same method that Do CPR first delivered the Equipment. If Do CPR personally delivered the Equipment, Customer shall return the Equipment to the same site that Do CPR initially left the Equipment by 8am the morning after the online course. This site would ideally be a hidden location that can’t be seen from the street and is protected from the elements. If Do CPR is unable to locate or retrieve the Equipment, Do CPR will try to contact the Customer at the location of delivery. If Do CPR is unable to collect the Equipment by 8am the morning after the online course, the Customer will be charged a fee of $25.00 per day that Do CPR is unable to retrieve the package (Customer authorizes the fee to be charged daily to the payment method used to register for the course). If Do CPR is unable to collect the package for 7 consecutive days, the Customer’s payment method will be charged for the full cost of the Equipment. If the Equipment was sent to the Customer via UPS, USPS or FedEx, the Equipment should be packaged up and the return label that Do CPR provided should be affixed to the original packaging and Customer is responsible for scheduling a pick up or dropping off the package to the appropriate mail delivery location on the next business day following the Course. If tracking details do not show the package as being returned the following business day, the Customer may be charged a fee of $25.00 per day that the return of the Equipment is delayed (Customer authorizes the fee to be charged daily to the payment method used to register for the course). If Equipment is not returned within 7 business days, the Customer’s payment method will be charged for the full cost of the Equipment. If the Customer is a business and an individual employee receives their equipment at a personal residence, it is the Customer’s responsibility to ensure all Equipment is returned promptly. All late fees listed above will apply to the Customer if equipment is not returned by an employee (whether terminated or still employed).
8.2 The Customer shall keep the Equipment in good and clean operating condition and shall advise Do CPR of any issues or injury to the Equipment immediately. Any damage to the Equipment will be charged to the Customer’s form of payment.
8.3 The Equipment rental shall commence on the date of delivery of the Equipment and shall terminate once the Equipment is received in good condition or after 7 days of non-return, whichever is sooner.
9.0 Entire Terms & Conditions and Modifications.
These Terms and Conditions constitute the entire agreement between you and Do CPR. Any modification to these Terms and Conditions will be relayed in writing to the Customer.
